Welcome to RequisitionPro! These Terms of Service ("Terms") govern your access to and use of our requisition management platform. By using RequisitionPro, you agree to these Terms. RequisitionPro operates primarily in Nigeria and across Africa, and these Terms are governed by Nigerian law.

1. Acceptance of Terms

By accessing or using RequisitionPro, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

These Terms apply to all users, including:

• Individual users and employees
• Organization administrators
• API developers and integrators
• Free trial and paid subscribers

2. Account Registration

2.1 Account Creation

To use RequisitionPro, you must create an account by providing accurate, complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of unauthorized access

2.2 Account Requirements

• You must be at least 18 years old
• You must provide a valid email address
• Organizations must have authority to bind their company
• One person or entity per account (no sharing)

3. Service Description

RequisitionPro provides a cloud-based requisition management platform that includes:

• Requisition creation, submission, and tracking
• Approval workflow automation
• Budget management and analytics
• Mobile applications (iOS and Android)
• API access for integrations
• Data export and reporting

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

4. Subscription and Payments

4.1 Pricing Plans

RequisitionPro offers multiple subscription tiers as described on our pricing page. Prices are subject to change with 30 days' notice.

4.2 Billing

• Free Tier: Limited features, no credit card required
• Paid Plans: Billed monthly or annually in advance
• Payment Methods: Bank transfer, Paystack, Flutterwave, credit/debit card, mobile money
• Primary Currency: Nigerian Naira (NGN). USD, GHS, KES, and other African currencies also supported
• VAT: Applicable taxes will be added to invoices as required by Nigerian law

4.3 Refunds

Subscription fees are generally non-refundable except as required by Nigerian consumer protection laws or at our sole discretion. You may cancel at any time; access continues until the end of your billing period. For annual subscriptions, pro-rated refunds may be available within the first 30 days.

4.4 Failed Payments

If payment fails, we will attempt to charge your payment method up to 3 times. After 7 days of failed payment, your account may be suspended.

5. User Responsibilities

You agree to use RequisitionPro responsibly and in compliance with all applicable laws. You will NOT:

• Use the service for illegal or fraudulent activities
• Attempt to breach security or access unauthorized data
• Reverse engineer, decompile, or hack the platform
• Upload malware, viruses, or malicious code
• Spam, harass, or abuse other users
• Scrape, crawl, or automated access without permission
• Resell or sublicense the service
• Create fake accounts or impersonate others

6. Data and Intellectual Property

6.1 Your Data

You retain all rights to the data you submit to RequisitionPro. You grant us a limited license to host, store, and process your data to provide the service.

6.2 Our Intellectual Property

RequisitionPro and all related technology, trademarks, and content are owned by us. You may not copy, modify, distribute, or create derivative works without written permission.

6.3 Feedback

Any suggestions, ideas, or feedback you provide become our property and may be used without compensation.

7. Data Privacy and Security

We take data protection seriously and comply with Nigerian and African data protection laws:

• All data encrypted in transit (TLS 1.3) and at rest (AES-256)
• SOC 2 Type II certified infrastructure
• Regular security audits and penetration testing
• Compliant with Nigeria Data Protection Act (NDPA) 2023, NDPR 2019, and GDPR
• Data stored within Nigeria and Africa where possible
• Registered with the Nigeria Data Protection Commission (NDPC)

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced at least 48 hours in advance via email and in-app notifications. We optimize our infrastructure for fast access across Nigeria and Africa.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time from your account settings. Access continues until the end of your billing period.

9.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in abusive or illegal behavior
• Pose a security risk to our platform

9.3 Data Retention After Termination

After account termination:

• You have 30 days to export your data
• Most data is deleted after 90 days
• Some data retained for legal/compliance requirements

10. Disclaimers and Limitations

10.1 Service "As Is"

RequisitionPro is provided "as is" without warranties of any kind, express or implied. We do not guarantee error-free or uninterrupted service.

10.2 Limitation of Liability

To the maximum extent permitted by law, RequisitionPro shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding fees paid in the last 12 months

10.3 Force Majeure

We are not liable for failures due to circumstances beyond our control (natural disasters, pandemics, wars, government actions, etc.).

11. Indemnification

You agree to indemnify and hold RequisitionPro harmless from claims, damages, and expenses arising from:

• Your use of the service
• Violation of these Terms
• Infringement of third-party rights
• Your data or content

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms or your use of RequisitionPro shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.

12.3 Alternative Dispute Resolution

Before pursuing legal action, parties agree to attempt resolution through:

• Good faith negotiation between the parties
• Mediation through a mutually agreed mediator in Lagos, Nigeria
• Arbitration under the Arbitration and Conciliation Act (Nigeria) if mediation fails

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

• Email notification to your registered address
• In-app notification banner
• Update on this page with new "Last Updated" date

Continued use after changes constitutes acceptance of the new Terms.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and RequisitionPro
• Severability: If any provision is invalid, the remaining provisions remain in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not transfer your account; we may assign our rights
